Terms of Service

These Terms of Service ("Terms") are a binding agreement between you and LOCATIONiQ, operated by [LEGAL ENTITY NAME], a company organized in the State of New York ("LOCATIONiQ", "we", "us"). By creating an account or using the Service, you accept these Terms on behalf of yourself and any organization you represent, and you confirm you are authorized to do so. If you do not agree, do not use the Service.

LOCATIONiQ provides deterministic, AI-assisted scoring and analysis to support commercial real-estate site selection. Outputs are decision-support, not professional, legal, financial, or investment advice. Demographic, competitive, labor, traffic, and economic figures are estimates derived from public and third-party data and may be incomplete, approximate, or out of date. Foot-traffic and lease economics are directional and must be independently verified before any commitment.

You are responsible for all activity under your account and for the members you invite to your organization. Roles (Owner, Admin, Analyst, Viewer) govern what each member can do. Keep your credentials secure and notify us of any unauthorized use. You must be at least 18 years old and provide accurate information.

Paid plans are sold as subscriptions billed in advance through our payment processor (Stripe). Plan limits (sites, seats, Scout runs, reports, credits) are enforced.

Automatic renewal — please read. Your subscription automatically renews at the end of each billing period (monthly or annually, as selected) and your payment method is charged the then-current fee, until you cancel. We will disclose the renewal term and price at sign-up. You may cancel at any time — effective at the end of the current period — from Billing or the customer portal, or by emailing support@locationiq.io. Cancellation stops future renewals; it does not retroactively refund the current period.

Fees are non-refundable except where required by law. We may change prices on renewal with reasonable advance notice. Failed or overdue payments may suspend paid features. Taxes are your responsibility where applicable.

Do not misuse the Service. You will not: use it unlawfully; attempt to breach tenant isolation or access another organization's data; probe, scan, or disrupt the Service; scrape, resell, or redistribute outputs in violation of upstream data providers' terms; fabricate contacts or provenance; or use outputs to unlawfully discriminate in the sale, rental, or financing of housing or credit. We may suspend accounts that violate this section.

You retain ownership of the data, files, and attachments you upload ("Your Content"). You grant us a limited license to host and process Your Content solely to provide the Service. You are responsible for having the rights to upload it. If you believe content on the Service infringes your copyright, email support@locationiq.io with the details required under the DMCA (17 U.S.C. §512), and we will respond appropriately, including removing infringing content.

We retain all rights in the Service, the scoring engine, our software, and aggregated, de-identified analytics used to operate and improve it. We grant you a non-exclusive, non-transferable right to use the Service during your subscription. You may not copy, reverse-engineer, or create derivative works of the Service.

The Service relies on third-party data and providers (e.g., US Census, BLS, FRED, OpenStreetMap, mapping and AI providers). We do not warrant their accuracy, availability, or fitness, and your use of outputs derived from them is subject to their terms. Links or integrations to third-party services are provided for convenience; we are not responsible for them.

THE SERVICE AND ALL OUTPUTS ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, AND NON-INFRINGEMENT. We do not warrant that outputs are accurate or that the Service will be uninterrupted or error-free. Validate independently before signing a lease or committing capital.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, LOCATIONiQ AND ITS OWNERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, OR BUSINESS, ARISING FROM OR RELATED TO THE SERVICE OR ANY DECISION MADE IN RELIANCE ON ITS OUTPUTS. OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS WILL NOT EXCEED THE AMOUNTS YOU PAID US FOR THE SERVICE IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM. Some jurisdictions do not allow certain limitations, so parts of this section may not apply to you.

You will indemnify and hold harmless LOCATIONiQ from claims, losses, and expenses (including reasonable legal fees) arising from your Content, your use of the Service, or your violation of these Terms or applicable law.

These Terms apply while you use the Service. You may cancel and stop using the Service at any time. We may suspend or terminate access for violation of these Terms, non-payment, or as needed to protect the Service. On termination, your right to use the Service ends; you may export or delete your data from Account settings before termination. Sections that by nature should survive (IP, disclaimers, liability, indemnity, governing law) survive termination.

We may modify or discontinue features of the Service. We may update these Terms; material changes will be posted here with an updated date and, where appropriate, notified by email. Continued use after changes take effect means you accept the updated Terms.

These Terms are governed by the laws of the State of New York, without regard to its conflict-of-laws rules. You and LOCATIONiQ agree to the exclusive jurisdiction and venue of the state and federal courts located in [COUNTY] County, New York, and waive any objection to that venue. Each party waives any right to a jury trial to the extent permitted by law.

These Terms, together with our Privacy Policy, are the entire agreement between you and us regarding the Service. If any provision is unenforceable, the rest remains in effect. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets. Neither party is liable for delays caused by events beyond its reasonable control. Our failure to enforce a provision is not a waiver.
